These Terms of Use (“Terms”) govern access to and use of the BlueKnight website, platform and related services.

BlueKnight is operated by BlueKnight Limited, a company registered in England and Wales under company number 16728958, with its registered office at 604, Montagu House, Padworth Avenue, Reading, England, RG2 0PY (“BlueKnight”, “we”, “us” or “our”).

By accessing or using the website or platform, you agree to these Terms. If you use BlueKnight on behalf of an organisation, you confirm that you are authorised to act for that organisation.

If your organisation has entered into an order form, subscription agreement, master services agreement or other written agreement with BlueKnight, that agreement will take priority if it conflicts with these Terms.

1 — About BlueKnight

About BlueKnight

BlueKnight provides software and research workflow tools intended to assist M&A advisors, investment banks, private equity firms, corporate development teams and other professional users.

Platform features may include company research, market analysis, company enrichment, target or buyer identification, strategic-fit assessments, transaction research, financial analysis and AI-assisted reports.

The availability and scope of individual features may depend on the applicable subscription, customer agreement and product configuration.

2 — Business use

Business use

BlueKnight is intended primarily for professional and business use. It is not intended for consumers or for anyone under 18 years old.

You must have the legal capacity and authority required to use the service and, where applicable, to bind the organisation on whose behalf you are acting.

3 — Accounts

Accounts

You must provide accurate account information and keep it current.

You are responsible for:

  • Protecting your login credentials;
  • Using appropriate security controls;
  • Ensuring that only authorised individuals use your account;
  • Promptly notifying BlueKnight of suspected unauthorised access; and
  • Removing access when a user no longer requires it.

You must not share an individual account unless BlueKnight has expressly permitted this.

4 — Permitted use

Permitted use

You may use BlueKnight for your organisation’s lawful internal business and professional purposes, subject to your applicable agreement.

You must comply with applicable laws, professional obligations, confidentiality duties, data-protection requirements and third-party rights.

You are responsible for determining whether your use of information produced or displayed by BlueKnight is lawful and appropriate for your intended purpose.

5 — Prohibited use

Prohibited use

You must not:

  • Use BlueKnight for unlawful, fraudulent, deceptive or abusive activity;
  • Attempt to gain unauthorised access to an account, system or dataset;
  • Circumvent access controls, usage limits or security measures;
  • Introduce malware, malicious code or harmful material;
  • Interfere with the operation, integrity or security of the service;
  • Scrape, harvest or extract information at scale except through an expressly authorised feature or API;
  • Reverse engineer, decompile or attempt to discover non-public source code, models or system logic, except where applicable law does not permit that restriction;
  • Resell, sublicense or make the service available to a third party without written permission;
  • Use another customer’s confidential information;
  • Infringe intellectual-property, privacy, confidentiality or other legal rights; or
  • Use BlueKnight to make unlawful decisions about individuals.

We may investigate suspected misuse and restrict access where reasonably necessary to protect BlueKnight, our customers or third parties.

6 — Research and AI-generated outputs

Research and AI-generated outputs

BlueKnight may use automated systems and artificial intelligence to collect, structure, classify, summarise, rank or generate information.

Outputs may be incomplete, inaccurate, outdated or unsuitable for a particular transaction. Similar companies may receive different results, and repeated requests may produce different outputs.

BlueKnight does not guarantee that:

  • A company, transaction, contact or opportunity is complete or current;
  • A suggested buyer, target or comparable is suitable;
  • A ranking or strategic-fit assessment is correct;
  • A calculation or valuation is free from error; or
  • An output will satisfy regulatory, investment-committee or client requirements.

You must apply independent professional judgement and review material outputs before using them in a transaction, report, presentation, recommendation or decision.

7 — No professional advice

No professional advice

BlueKnight provides software and information tools. It does not provide investment, financial, legal, tax, accounting or other regulated professional advice.

Nothing on the website or platform constitutes:

  • An offer or recommendation to buy or sell a security, company or asset;
  • An investment recommendation;
  • A fairness opinion;
  • A valuation opinion;
  • Legal, tax or accounting advice; or
  • A representation that any transaction will complete.

You should obtain appropriate professional advice where required.

8 — Customer information

Customer information

You retain ownership of information, documents and other material you or your authorised users submit to the platform (“Customer Information”).

You grant BlueKnight a limited right to host, copy, process, transmit and display Customer Information only as reasonably necessary to:

  • Provide and support the service;
  • Maintain security and service integrity;
  • Comply with lawful instructions and legal obligations; and
  • Perform the applicable customer agreement.

You confirm that you have the rights and permissions necessary to provide Customer Information to BlueKnight and instruct us to process it.

9 — Confidentiality

Confidentiality

Each party must protect confidential information received from the other party and use it only for the purpose for which it was disclosed.

This obligation does not apply to information that:

  • Is or becomes public without breach of an obligation;
  • Was already lawfully known to the recipient;
  • Is received lawfully from another source without a confidentiality restriction; or
  • Is independently developed without use of the other party’s confidential information.

A party may disclose confidential information where required by law, regulation or a competent authority.

Detailed confidentiality terms in a customer agreement take priority over this section.

10 — BlueKnight intellectual property

BlueKnight intellectual property

BlueKnight and its licensors retain all rights in the website, platform, software, design, branding, documentation, models, workflows and underlying technology.

Except for the limited right to use the service under these Terms and an applicable customer agreement, no intellectual-property rights are transferred to you.

Feedback may be used by BlueKnight to improve its products and services, provided that doing so does not disclose your confidential information or identify your organisation without permission.

11 — Third-party information and services

Third-party information and services

BlueKnight may display, link to or process information supplied by public sources, customers, data providers or other third parties.

Third-party information remains subject to any applicable rights and restrictions. BlueKnight does not control and is not responsible for external websites or services merely because they are linked from the platform.

Your use of a third-party service may be governed by that provider’s separate terms and privacy policy.

12 — Fees and subscriptions

Fees and subscriptions

Fees, subscription periods, usage allowances, renewal arrangements and payment terms will be set out in the applicable order form or customer agreement.

Unless that agreement states otherwise, fees are exclusive of applicable taxes.

13 — Availability and changes

Availability and changes

BlueKnight may update, improve, replace or discontinue features. We may also perform maintenance that temporarily affects availability.

We do not promise that the website or platform will always be available, uninterrupted or error-free.

Where reasonably practicable, we will seek to avoid materially reducing the core functionality of a paid service during an agreed subscription term.

14 — Suspension and termination

Suspension and termination

We may suspend or restrict access where reasonably necessary because of:

  • A material or repeated breach of these Terms;
  • A security risk;
  • Suspected unlawful activity;
  • Non-payment;
  • Use that may harm the platform or another person; or
  • A legal or regulatory requirement.

Subscription termination rights are governed by the applicable customer agreement.

Sections intended by their nature to continue after termination—including intellectual property, confidentiality, disclaimers, liability and governing law—will continue to apply.

15 — Disclaimers

Disclaimers

To the extent permitted by law, the website, platform and outputs are provided on an “as available” basis.

BlueKnight does not give warranties that are not expressly stated in an applicable written customer agreement. Any implied conditions, warranties or terms are excluded to the extent permitted by law.

Nothing in these Terms limits rights or remedies that cannot lawfully be excluded.

16 — Liability

Liability

Nothing in these Terms excludes or limits liability for:

  • Death or personal injury caused by negligence;
  • Fraud or fraudulent misrepresentation; or
  • Any liability that cannot lawfully be excluded or limited.

Subject to the paragraph above and any different limit in an applicable customer agreement, BlueKnight will not be liable for indirect or consequential loss, loss of profit, loss of revenue, loss of anticipated savings, loss of opportunity, loss of goodwill or loss arising from a transaction decision.

For a paid service, BlueKnight’s total aggregate liability arising from the service will not exceed the fees paid or payable for that service during the 12 months preceding the event giving rise to the claim.

For use of the public website where no fee has been paid, BlueKnight’s total aggregate liability will not exceed £100.

These limitations apply only to the extent permitted by applicable law.

17 — Privacy

Privacy

Our Privacy Policy explains how BlueKnight processes personal data.

Where BlueKnight processes personal data on behalf of a customer, that processing may also be governed by a data-processing agreement.

18 — Changes to these Terms

Changes to these Terms

We may update these Terms to reflect changes to the service, law, security requirements or business operations.

The updated version will show its effective date. Where required by an applicable agreement or law, we will give reasonable notice of a material change.

19 — General provisions

General provisions

You may not transfer your rights under these Terms without BlueKnight’s prior written consent. BlueKnight may transfer its rights as part of a corporate reorganisation, financing, merger, acquisition or sale of its business or assets.

If a provision is found to be invalid or unenforceable, the remaining provisions will continue in effect.

A delay in enforcing a right does not waive that right.

These Terms do not create a partnership, agency, joint venture or employment relationship.

No person other than you, your organisation and BlueKnight has a right to enforce these Terms under the Contracts (Rights of Third Parties) Act 1999.

20 — Governing law and courts

Governing law and courts

These Terms and any non-contractual obligations arising from them are governed by the laws of England and Wales.

The courts of England and Wales will have exclusive jurisdiction, unless an applicable written customer agreement states otherwise.
